Terms of cooperation

General terms for brand creation services from EnjoyGroup Sp. z o.o. Your written proposal or contract prevails over these terms.

1. Scope

These terms apply to services provided by EnjoyGroup Sp. z o.o., operating as BrandgeniQ (“we”), to business clients. They do not apply to consumers. If a written proposal or contract says something different, that document prevails. Other terms of the client apply only if accepted in writing.

2. Proposals and contract

A proposal sets out the stages, scope, fee per stage, timing and any handovers. Proposals are valid for 30 days unless stated otherwise. A contract is formed when both parties confirm the proposal or sign a contract in writing; email is sufficient unless the proposal says otherwise.

3. Stages and gates

Work is divided into stages. Each stage ends with a result and a decision by the client to continue, change the plan or stop. A later stage starts only after the client’s written confirmation. Changes in scope are agreed in writing and may change the fee and timing.

4. Stopping

The client may stop at any gate and pays only for the stages completed. If the client stops during a stage, work done up to that point and any costs already incurred are invoiced as the proposal sets out. We may suspend work if payment is overdue or the client’s input needed for a stage is not provided.

5. Client input and responsibility

The client provides accurate information and timely decisions. The client confirms it holds the rights to the materials it supplies and indemnifies us against third-party claims arising from them. Business decisions, including the decision to order goods and place them on a market, remain with the client.

6. Fees and third-party costs

Our fees are stated per stage, net in euro unless stated otherwise, excluding VAT. Payment terms are in the proposal. Late payment bears statutory interest. Costs of third parties, such as factories, laboratories, attorneys, official offices, carriers and advertising platforms, are not part of our fee unless the proposal says so. As a rule, they are governed by the contract with the third party concerned.

7. Intellectual property

Names, designs, specifications and other results created for the client pass to the client on payment for the relevant stage, to the extent described in the proposal. Unselected options remain ours unless agreed otherwise. Rights in a supplier’s base products, formulas or tooling are governed by the contract with that supplier. Trademark applications are filed in the client’s name through licensed attorneys. We may refer to our work for the client only with the client’s written consent.

8. Confidentiality

Each party keeps the other’s non-public business information confidential and uses it only for the cooperation. A separate confidentiality agreement may be signed and prevails over this clause.

9. What we do not promise

We provide professional services with due care. We do not promise sales, profit, a particular market result, registration of a trademark or approval by a laboratory, authority, marketplace or retailer. Regulatory and trademark information is general unless it is given as an opinion by a licensed specialist. Under applicable law, duties as a manufacturer, importer or responsible person may rest with the client, and cooperation with us does not transfer them unless a written contract provides for this and the law allows it.

10. Liability

Our liability is limited to the fee paid for the stage in question, except in cases of intent or gross negligence, and within the limits of mandatory law. We are not liable for loss of profit or for the acts and omissions of third parties that the client contracts directly.

11. Sanctions and restrictions

We do not provide services where this would breach sanctions or export restrictions. Either party may suspend or end cooperation if such a restriction arises. The client informs us of the parties, goods and destinations involved.

12. Law and jurisdiction

Polish law applies. The courts competent for our registered seat have jurisdiction; we may also bring proceedings at the client’s seat. Last updated: 2 November 2026.
